Terms of Service

These Terms of Service (the "Terms") are a legal agreement between QuickRetail LLC, a Tennessee limited liability company ("QuickRetail," "we," "us"), and the business that subscribes to or uses the QuickRetail service (the "Customer," "you"). By creating an account, clicking to accept, or using the Service, the individual accepting agrees on behalf of the Customer that the Customer is bound by these Terms, and represents that they are authorized to bind the Customer.
1. The Service
QuickRetail provides a cloud-based retail operating platform that connects to your point-of-sale ("POS") and other systems and adds analytics, scheduling, time-and-attendance, task management, team workflows, customer outreach, and related tools (collectively, the "Service"). We may update, improve, or change the Service over time.
2. Accounts and access
You are responsible for setting up your account, inviting your personnel, assigning roles, and keeping login credentials confidential. You are responsible for all activity that occurs under your account and the accounts of your personnel. You will require each of your personnel to comply with these Terms and the Team Member Terms of Use.
3. Your data and your responsibilities
"Customer Data" means all data you or your personnel submit to the Service or that the Service collects on your behalf, including employee records, time entries, schedules, and customer and sales information imported from your POS.
You represent and agree that:
- You have all rights and permissions necessary to provide the Customer Data to us and to have it processed through the Service.
- You have provided all notices and obtained all consents required by law from your personnel and customers, including any notice or consent required for location (GPS) capture at clock-in/out and for the collection and use of employee and customer information.
- You — not QuickRetail — are solely responsible for your employment, wage-and-hour, scheduling, meal-and-rest-break, payroll, tax, and recordkeeping decisions and obligations. The Service is a tool that records and organizes information; it does not provide legal, tax, accounting, or human-resources advice, and we do not guarantee that your use of it satisfies any law that applies to your business.
- You will use the Service in compliance with all laws that apply to you.
As between the parties, Customer Data belongs to you. You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service and as described in the Privacy Policy and Data Processing Addendum.
4. Acceptable use
You will not, and will not permit anyone to: use the Service unlawfully or to violate anyone's rights; upload malware or attempt to breach or overload the Service; reverse engineer, copy, or resell the Service; remove proprietary notices; or use the Service to build a competing product.
5. Fees
If your plan includes fees, you agree to pay them as described in your order or plan. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing on a going-forward basis with reasonable notice.
6. Intellectual property
The Service, including all software, designs, and content we provide, is owned by QuickRetail and its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction.
7. Third-party services
The Service integrates with third-party services you choose to connect, such as your POS (for example, Square) and email or messaging providers. Your use of those services is governed by their terms, and we are not responsible for them. Access to a third-party integration may change or end if the third party changes its platform.
8. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, QUICKRETAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet any legal or regulatory requirement that applies to your business, including wage-and-hour or recordkeeping requirements.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, QUICKRETAIL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE. Our total liability for any claim relating to the Service will not exceed the greater of the fees you paid to us for the Service in the twelve months before the claim or one hundred U.S. dollars ($100). These limits apply even if a remedy fails of its essential purpose.
11. Indemnification
You will defend, indemnify, and hold QuickRetail harmless from any third-party claim, and any resulting losses, arising out of (a) your Customer Data, (b) your use of the Service, or (c) your employment, pay, scheduling, or recordkeeping decisions, or your violation of law or of these Terms.
12. Term and termination
These Terms apply while you use the Service. Either party may terminate if the other materially breaches and does not cure within thirty (30) days of notice. You may stop using the Service at any time. On termination, your right to use the Service ends; you may request an export of your Customer Data for a reasonable period as described in the Privacy Policy, after which we may delete it.
13. Changes to these Terms
We may update these Terms. If we make a material change, we will present the updated Terms for acceptance the next time an authorized user signs in, or otherwise provide reasonable notice. Continued use after an update means you accept it.
14. Governing law and venue
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Tennessee for any dispute that is not otherwise resolved.
15. General
These Terms, together with the Privacy Policy and Data Processing Addendum, are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
